The present General Terms and Conditions of Sale govern the use of the Graphic Design Service by subscription offered on the website mycreativeagency.com. By using this Service, you indicate that you have read and understood the terms of use and agree to comply with them at all times.

Designated as Services: All the service suite offered on the site.

Designated as The Company: The company My Creative Agency.

Designated as the Subscriber: The person or company subscribing to the Service.

Designated as Deliverables: All requests, made by the Subscriber to the Company, included in the scope of the subscribed service.

Services

It is possible to subscribe to one of the following services:

  1. "MARKETING DESIGN" Service by monthly or annual subscription.
    This offer includes a complete range of graphic design services:

    • Social media visuals

    • Online communication banner kits

    • Newsletter design

    • Landing page design

    • Product page design for e-commerce sites

    • Generative artificial intelligence-based visual creation

    • Product integration in photos

    • Full website design

    • Video editing

    • Title and animation (motion design)

    • AI photo retouching and manipulation

    • Brand identity creation

    • Posters, flyers, business cards, brochures, stationery design

    • Display ad campaigns and catalog creation

    • Website design integration with no-code tools like Webflow, Framer, or Wix

      Up to 12 tasks per month, with delivery every 48 hours for simple tasks. The delivery time can be adjusted based on task complexity, client feedback responsiveness, and number of revisions.

      The Subscriber is responsible for all fees associated with the use of no-code platforms. The Company agrees to inform the Subscriber in advance of any additional fees before incurring them, so the Subscriber can give consent.‍

  2. Reduced "MARKETING DESIGN" Service by monthly or annual subscription.
    This offer includes a selection of graphic design services:

    • Social media visuals

    • Online communication banner kits

    • Newsletter and landing page design

    • Product page design for e-commerce sites

    • Generative artificial intelligence-based visual creation

    • Product integration in photos

    • Full website design

    • Simple video editing (cropping and formatting)

    • AI photo retouching and manipulation

    • Posters, flyers, business cards, brochures, stationery design

    • Display ad campaigns and catalog creation

    Up to 6 tasks per month. The maximum number of tasks per month may be reduced based on task complexity, client feedback responsiveness, and number of revisions.

  3. "WEBSITE" Service by monthly subscription
    Creation of a presentation website for a product, your brand, or company with Webflow, Framer, or Wix. The website will include 1 to 5 pages. Possibility to add pages, contact forms, languages, an appointment booking module, or other features on estimate. A link to an online payment application like Stripe can be integrated to add an "online purchase" dimension, but no complete e-commerce functionality will be possible.

    One revision request per month is included, with domain name configuration. The Company covers hosting fees within the following limits:

    • Framer: Basic plan

    • Wix: Light plan

    • Webflow: Basic plan

    If the Subscriber wishes to upgrade to access additional features, they will have to bear the additional costs.

    No development to extend the basic platform features is included in this offer. Any additional development will be billed separately.

    An initial payment is required for the briefing and website creation, with a 12-month commitment. Subsequent monthly payments will be billed from the month following the website's launch.

  4. "BRAND IDENTITY AND WEBSITE" Service by monthly subscription
    Creation of a unique website and visual identity, accompanied by monthly graphic design services for your online and offline communication (business cards, posters, email signatures, social media banners, etc.). The website is created using one of the following platforms: Webflow, Framer, Wix, or Shopify. We will integrate up to 10 products into your online store, but you can add more yourself.

    Possibility to add pages, products, contact forms, an appointment booking module, languages, or other features on estimate. Any development to extend the basic features of the mentioned platforms will be billed separately.

    One revision request per month is included, with domain name configuration. The Company covers hosting fees within the following limits:

    • Framer: Pro plan

    • Wix: Core plan

    • Webflow: CMS plan

    • Shopify: Basic plan

    Sales fees associated with the use of Shopify (credit card rate, fees for payments via third-party providers, etc.) will be borne by the Subscriber.

    If the Subscriber wishes to upgrade to access additional features, they will have to bear the additional costs.

    An initial payment is required for the briefing and website creation, with a 12-month commitment. Subsequent monthly payments will be billed from the month following the website's launch.

    This offer includes a selection of graphic design services:

    • Social media visuals

    • Online communication banner kits

    • Newsletter design

    • Generative artificial intelligence-based visual creation

    • Product integration in photos

    • Simple video editing (cropping and formatting)

    • AI photo retouching and manipulation

    • Posters, flyers, business cards, stationery design

  5. "Web application + UI designing" Service by quote only.
    Development of complex full-stack web applications in JavaScript or Ruby on Rails. As each project is unique, the price is customized to your needs and objectives. Contact with our team is necessary to discuss your project and establish a quote. The services do not include hosting, maintenance, or application updates after delivery, unless otherwise agreed.

These services do not include:

  • 3D visuals

  • Packaging pattern design

  • Illustration

  • Video capture

  • Photo shootings

Payments

The Subscriber will pay the Fees on the day the Order is placed, and on the same day of each month thereafter, by direct transfer. For a subscription starting in the middle of the month, the end of the paid month is determined on a pro-rata basis of the actual number of days remaining in the current month from the subscription start date (28, 29, 30, or 31 days).

The amount received in the Company's bank account must correspond to the total service price. The Company is not responsible for any bank fees generated by the bank transfer or currency conversion to euros.

If the amount is incorrect and the Subscriber needs to make a second payment, the Company will not be responsible for any additional bank fees.

The Company may decide not to start the service if the Subscriber has not paid the full price in advance.

However, the Company may grant a 2-week extension if the Subscriber's company makes its payments on a regular schedule.

Billing and Subscription

The Subscriber will receive the invoice before the start of the service to proceed with the payment. The Subscriber will pay the same amount each month to continue the subscription. They can decide at any time not to renew their subscription by not paying the next monthly payment. The subscription will then be terminated.

If the payment for the next monthly payment is not received by the end of the month paid, the service will be suspended until the next payment is received.

In case of termination, no refund will be made. All amounts already paid to the Company will remain with them.

No deliverables will be sent to the Subscriber after the subscription is terminated. If a task has been started but could not be completed before the end of the subscription, the Company will not send the corresponding deliverables.

If the Subscriber wants the Company to complete these deliverables, they will need to subscribe for an additional month.

Refund

The subscription subscribed by the Subscriber is non-refundable, regardless of the service provided.

No licensed goods paid for the completion of a task will be refunded.

Pricing

If the Client continues to pay the service fees every month, the Company guarantees that the price of the subscribed service will not be changed.

The Company will not ask the Client to pay a higher amount from one month to another, even if the subscription price indicated on the https://monagencecreative.com website were to increase.

If the Client cancels any of their subscriptions, the Company can only maintain the initial rate for a period of 30 days, after which any subscription renewal will be charged at the price displayed on the website.

If the price has increased, the Client cannot claim the previous rate and must subscribe to the service at the new rate.

Cancellation

Cancellation of "MARKETING DESIGN" subscriptions

The cancellation conditions for "MARKETING DESIGN" subscriptions differ depending on the period chosen by the Subscriber:

  • Monthly subscription

    If the Subscriber has opted for a monthly subscription, he can cancel his subscription at any time, without notice. The cancellation will take effect at the end of the current month, and no refund will be made for the remaining period of the month. The Subscriber will not be billed for the following months.

  • Annual subscription

    If the Subscriber has opted for an annual subscription, he is committed for a period of 12 months. Early termination is not possible, except in case of force majeure. The Subscriber will have to honor the full payments for the 12-month commitment period, even if he decides not to use the service anymore.

  • Suspension or cancellation by the Company

    The Company reserves the right to suspend or cancel the "MARKETING DESIGN" subscription of a Subscriber in the event of non-compliance with the general terms of sale, late payment, or any other detrimental behavior. In this case, no refund will be made.

  • Subscription renewal after cancellation

    If the Subscriber wishes to renew his "MARKETING DESIGN" subscription after cancellation, he will have to do so under the conditions and rates in effect at the time of the new subscription.


Cancellation of "WEBSITE" and "VISUAL IDENTITY AND WEBSITE" subscriptions

The "WEBSITE" and "VISUAL IDENTITY AND WEBSITE" subscriptions are subject to a 12-month commitment. In case of cancellation of the subscription by the Subscriber, the following conditions apply:

  1. Notice of cancellation: The Subscriber must inform the Company of his intention to cancel the subscription in writing (email or mail) at least 60 days before the annual due date of the subscription. This notice will allow the Company to prepare the transfer of the subscription from the platform (Webflow, Wix, or Framer) to the Subscriber.

  2. Early cancellation: If the Subscriber wishes to cancel his subscription before the end of the 12-month commitment period, he will have to pay the Company a compensation corresponding to the expenses incurred for the remaining period until the annual due date. This compensation will cover, in particular, the hosting and subscription fees for the platform.

  3. Non-payment of early cancellation compensation: If the Subscriber does not pay the early cancellation compensation, the Company reserves the right to suspend access to the website until full payment of the compensation. In case of persistent non-payment, the Company may definitively cancel the subscription and delete the website, with no possibility of data recovery.

  4. Transfer of the platform subscription: During the notice period, the Company undertakes to provide the Subscriber with all the necessary information to transfer the subscription from the platform to his name. The Subscriber will then be responsible for managing and paying the subscription directly with the platform.

  5. Transfer fees: Any transfer fees for the platform subscription will be the responsibility of the Subscriber.

  6. Access to the site after cancellation: Once the subscription is canceled and transferred, the Company will no longer be responsible for hosting, maintenance, or access to the website. It will be the Subscriber's responsibility to manage his website directly via the platform.

  7. Loss of access in case of non-transfer: If the Subscriber does not transfer the subscription from the platform to his name before the effective cancellation date, he will lose access to his website. The Company cannot be held responsible for this loss of access.

  8. Subscription renewal after cancellation: If the Subscriber wishes to renew his "WEBSITE" or "VISUAL IDENTITY AND WEBSITE" subscription after cancellation, he will have to do so under the conditions and rates in effect at the time of the new subscription.

Operation of the "MARKETING DESIGN" service

  1. The briefs/tasks submission tool

    The Client submits tasks to be carried out on a dedicated Kanban board. The Company offers the "Trello" tool by default, but if the client already uses internal software, the Company can be invited provided that the tool provides the Kanban functionalities described below and allows for receiving notifications. The Kanban board has 3 columns where tasks will be created and moved:
    "Back log", "Active Task", "Approved".

    The Company undertakes to work on one task at a time. The time slots, referred to here as "slots", correspond to one task in the "Active Task" column of the kanban and are reserved by the Subscriber.

    A subscription provides 1 slot. The Subscriber is free to decide which task to move to the "Active Task" column and can make changes at any time.

    The Subscriber decides:
    - If the task is completed by moving it to the "Approved" column.
    - If they want to leave the task active because it requires revisions.
    - If the task needs to be put on hold to prioritize another task. In this case, they will move it back to the original "Back log" column.

    The Company has a minimum period of 48 working hours to make the requested modifications. This period may be shortened if the revision is simple and the Company is able to respond more quickly.

    The Subscriber can request as many revisions as necessary for a deliverable, as long as the request is made within the paid month for the relevant task. Hence, the task can remain active for the duration of the revisions, with no limit on the number of iterations, and at no extra cost.

  2. Delivery deadlines and time management

    The Company undertakes to work on the briefs sent by the Subscriber until the end of the paid month, from Monday to Friday, excluding French legal holidays, within a minimum period of 48 working hours. More complex tasks may require several days, in which case the Company will inform the Subscriber of the possible deadline for these tasks.

    The deliverables are typically provided within 48/72 hours after receiving and accepting the Client's request. Please note that the execution period depends on the complexity of the requests and the comprehensibility of the brief. ‍

  3. Pause feature of the monthly subscription

    If the Subscriber has no more work to entrust to the Company before the end of their paid monthly subscription, they have the option to request a pause of their subscription to not lose the remaining subscription time. For this request to be considered, the Subscriber must meet the following criteria: the pause request must be submitted by email to support@monagencecreative.com at least 72 hours before the end of the current paid subscription. In addition, the Subscriber must not have already benefited from a pause for the current paid subscription month. This pause will be made without refund of already paid sums. The subscription can be resumed within a maximum period of 3 months after the pause. Upon resumption, the Subscriber will benefit from the remaining subscription time before the pause to submit new requests.

    The subscriber cannot pause a subscription paid for the year.

  4. Subscription

    The Subscriber will pay the same amount each month to continue the subscription. They can decide at any time not to renew their subscription by not paying the next monthly payment. If payment for the next monthly payment is not received at the end of the paid month, the service will be terminated.

    The termination does not entail any refund. All sums paid for the subscription will remain definitively acquired by the Company. No Deliverables will be sent to the Subscriber once the subscription is terminated or completed. If a task has been started but not completed and has not been delivered before the termination, the Company will not provide the requested Deliverables.

    If the Subscriber wants the Company to finalize these Deliverables, they will have to subscribe for an additional month.

Examples of delivery times:

- Possible delivery within 48 hours: color correction of 10 photos, design of a newsletter, first draft of a design concept for a brand campaign, product placement photo, formatting of visual content for social media, adding titles to a video.
- Deliveries requiring more than 48 hours: Design of a website or landing page, complex video editing, affiliate campaigns requiring the creation of a hundred banners.

The Subscriber is responsible for providing the Company with detailed briefs and feedback within reasonable deadlines. If the Subscriber does not take the time to write briefs or provide feedback within the scope of their subscription, unused time will be considered lost and non-transferable.
No refund will be given to the Subscriber for unused time due to their own actions.

Intellectual Property

All intellectual property rights to the visual creations provided to the Subscriber remain the exclusive property of the Company.

However, the Company grants the Subscriber an extended and unrestricted license for the use of these visuals. The Subscriber is free to use, modify, adapt, and distribute the visuals created as part of their subscription for any commercial use, without concern for geographical, temporal, or specific media limitations. There are no restrictions on the internal (sell-in) or external (sell-out) use of the visuals. Additionally, the Company will not charge any royalties or additional fees for the use of the visuals, even after the end of the subscription.

However, for visuals created in collaboration with a third-party artist at the request of the Subscriber, the rules of use will be defined by the respective artist, and the Subscriber must comply with these specific conditions.

Disclaimer

The Company or any party will not be held responsible for any issues arising from any misuse of the deliverables.

The Company disclaims all liability for any delay, loss, theft, destruction, alteration, or unauthorized disclosure of Subscriber's information or data.

The Company shall in no event be liable in the event of force majeure or external technical issues preventing access to the Deliverables.

The liability of the Company is limited to the amount paid by the Subscriber for the service provided.

Indemnification

As a user, you hereby indemnify the Company from any liability, cost, cause of action, damage, or expense arising from your use of this service or your violation of any provisions set forth in this document.

Applicable Laws

This document is subject to the applicable laws in France and aims to comply with its necessary rules and regulations. This includes the EU-wide regulation set out in the GDPR.

Divisibility

If at any time any of the provisions set forth in this document is deemed to be incompatible or invalid under applicable laws, such provisions shall be deemed null and void and shall be removed from this document. All other provisions shall not be affected by the laws and the remainder of the document shall always be deemed valid.

Changes

The present terms and conditions may be modified from time to time to comply with the law and reflect any changes in the management of our site and the expected behaviors of users on our site. We recommend that our users regularly check these terms and conditions to ensure that they are informed of any updates. If necessary, we will inform users by email of any changes to these terms or post a notice on our site. The effective date of these terms and conditions is May 1, 2024.
